Provider Agreement

This Provider Agreement is between Capital Enesti Inc. ("the Marketplace") and you or the entity you represent ("Provider").
- Your listing. You may list APIs you are authorized to distribute. You are solely responsible for your API, its data, its lawfulness, and any claims arising from its use. You will not list APIs that are illegal, infringing, malicious, or that you are not entitled to offer.
- Price and Platform fee. You set the Price per request for your API and, if you allow per-request overrides, a Max price ceiling for them. The Marketplace adds its Platform fee on top; the consumer pays the sum. On every charged request paid from purchased dollars you receive the Price portion in full; the Platform fee is the Marketplace's. Requests paid from the consumer's Free buffer are a trial funded by the Marketplace and earn you nothing.
- Earnings and Payouts. Your Earnings accrue daily on charged requests paid from purchased dollars, and are reduced by Deductions. Payouts are paid monthly, when your payable balance reaches $50, to connected accounts in Canada, the United States, the United Kingdom, the EEA and Switzerland. Providers elsewhere still accrue Earnings, but cannot be paid until another rail exists.
- Disputes and Deductions. Consumers can Dispute a charged request within 30 days. We investigate and decide each Dispute. If it is upheld, the earned Price portion of the refunded request is deducted from your Earnings (a Deduction); a request the Free buffer paid for earned you nothing and so deducts nothing. If it is rejected, the request stays charged and your Earnings are unchanged.
- Self-use. Calling your own API is charged normally and never earns Earnings.
- The Marketplace is the merchant of record. Consumers buy prepaid balances from the Marketplace. You do not sell to consumers directly, you do not handle consumer payments, and taxes charged at purchase are the Marketplace's. Taxes on your own Earnings are yours.
- Identity and payout details. You must provide and keep current your legal name, contact email, and country of establishment, and complete Stripe Connect onboarding. A Payout may be subject to withholding or reporting to the extent required by law; any amount withheld is recorded on the Payout.
- Suspension. The Marketplace may suspend or remove a listing that violates this Agreement, the Acceptable Use Policy, or applicable law.
By accepting, you agree to be bound by this Agreement and the Terms of Service.
